This agreement applies to and between you, the user of this website and Adopt an AED Ltd with a registered office at Armstrongs Accounting, 142 West Nile Street, Glasgow, Glasgow, Scotland, G1 2RQ (https://adoptanaed.co.uk). Your agreement to comply with and be bound by these Terms and Conditions is deemed to occur upon your first use of the Website. If you do not agree to be bound by these Terms and Conditions, you should stop using the Website immediately. Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using this website and our services operated by Adopt an AED Ltd (“us”, “we”, or “our”).

In this Agreement “you” and “your” refer to customers, prospective customers, and users of our website/Services, “we”, “company”, “us” and “our” refer to Adopt an AED Ltd or https://adoptanaed.co.uk and “Service” refers to the services provided by us. Party”, “Parties”, or “Us”, refers to both the customers and ourselves, or either the customer or ourselves. “Item”, “product” or “device” refer to the AED sold on our website. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to our customers in the most appropriate manner, for the express purpose of meeting the customer’s needs in respect of provision of the Company’s stated services, in accordance with and subject to, prevailing laws. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to same.

Any and all use of our services is subject to this Agreement, which may be updated by us from time to time with a reasonable notice given to you except where we are required by law to effect such change immediately or where we have reasonable reasons to make such changes e.g. in the cases of fraud, defective products and other reasons as we may see fit. Any such change of terms shall be binding and effective upon posting of the revised Agreement on our website. In addition to this Agreement, specific services or information contained within this website may be subject to additional posted terms or guidelines applicable to such services. All such terms or guidelines are hereby incorporated by reference into this Agreement.

Unauthorised access

It is unlawful to try and gain unauthorised access to the site, its servers, or any computer or database connected to the Site. You must not attack the Site via a denial-of-service attack or a distributed denial-of-service attack. We will report any such breach to the relevant law enforcement authorities, and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Site will cease immediately.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Site or to your downloading of any material posted on it, or on any website linked to it.

Age restriction

This Site is offered and available to users who are 16 years of age or older. By using this Site, you represent and warrant that you are of legal age to use our website and our service. If you are under 16, you may only use the site under the supervision of an adult, legal guardian or parent.

Our Services

Adopt an AED (Automated External Defibrillators) focuses on increasing access to early defibrillation (you may consider -life saving intervention-) in case of a Sudden Cardiac Arrest (SCA) in a public place. The aim of our service and this website is to provide local communities with an access to AED which we believe should be within running distance of cardiac arrest, and with someone trained to use it.

Order an AED

There are several ways you can provide an AED to your local community using our website. We have adopted three (3) helpful means to purchase an AED from https://adoptanaed.co.uk;

  1. Crowdfunding Campaign: Adopt an AED’s crowdfunding campaign help users create a campaign to raise funds and buy an AED for their local community. Each campaign will be setup by anyone registered on the site. Whoever creates a campaign on this website will be assigned the role of campaign manager.

    To setup a campaign, campaign manager must create a one-page post on https://adoptanaed.co.uk describing who they are, why they need the AED in their local community, location of the community and how much is required to purchase the AED from Adopt the AED’s shop/store. The Campaign manager can then repost or share their post on social media platforms or other mediums they choose to promote their campaign.

    As an incentive for their campaign and a way to encourage more people to purchase AED’s to their local community, we have included a reward program to the Crowdfunding Campaign. The reward program gives a campaign manager 10% of the money raised from their campaign. This however only applies to campaigns raised to purchase our adoption pack and not for singular purchases made on our e-commerce store/shop. Thus, a campaign manager can either create a campaign to purchase an adoption pack or simply to buy an item from the Adopt an AED ecommerce store/shop. For a campaign to be successful, it must make at least 70% of the total funds needed or target set by the campaign manager.

    N.B. Any money raised from a campaign shall only be paid into the campaign manager’s Adopt an AED account as credit. The credit shall be equivalent to the amount raised in the campaign and must be used to make a purchase from the Adopt an AED shop/store. Money made from such campaign does not belong to the campaign manager and will never be released to the campaign manager except in credit as mentioned above.

  2. Donation: Another way to purchase an AED from our website and help local communities is by making a donation. To make a donation, simply go on https://adoptanaed.co.uk/donate-an-aed/. You can donate from as little as £10 to £5000 or simply have a monthly contribution deducted from your account monthly/yearly to support local communities. Donations by check may be made payable and mailed to us at our address: Adopt an AED Ltd, Armstrongs Accounting, 142 West Nile Street, Glasgow, Scotland, G1 2RQ United Kingdom All donations made to the Adopt an AED Initiative will be used to purchase Automated External Defibrillators (AEDs) for placement in communities across the UK. Adopt an AED will work alongside the emergency services to decide the best location to place these devices.

    Any donation more than £1500 can request for the AED to be placed at a specific location. We can also put “in memory of” on the AED if the contributor wishes to donate the AED in memory of a loved one. In the event that the donor/contributor who has made a donation above £1500 does not specify a location, we will work with the emergency services to find a local community for the AED.

    Donations will also be used to train local communities in CPR and AED skills, ensuring people have the knowledge required to help someone during a Cardiac Arrest Situation.

Payments

In consideration for some of our services and products sold on this website, you may be asked to supply certain information relevant to your purchase including, without limitation, your name, your phone number, house address, email address, delivery address, card details and any such information needed by us for you to complete payments.

We agree to protect such in accordance with our privacy policy and data protection Acts /GDPR. All payment will either be handled by PayPal or Stripe depending on your method of payment.

Setting up an Account

To use our website/services, you will need to sign up or set up an account with us

which will contain certain personal details and Payment Information. You MUST have an account to use our services.

In creating your account and continuing to use this Website including when you provide content on this website (e.g. when you create a campaign), you represent and warrant that:

  • all information you submit is accurate and truthful;
  • you have permission to submit Payment Information where permission may be required; and
  • you will keep this information accurate and up to date.

It is recommended that you do not share your Account details, particularly your username and password. We accept no liability for any losses or damages incurred as a result of your Account details being shared by you. If you use a shared computer, it is recommended that you do not save your Account details in your internet browser. If you have reason to believe that your Account details have been obtained by another without consent, you should contact Adopt an AED Ltd immediately to suspend your Account and cancel any unauthorised orders or payments that may be pending.

Shipping and delivery

Once an order has been made by a user, we will then package the item and deliver the order to the delivery address provided by the user. Where a user is expected to provide a delivery address, it is the responsibility of the user to provide a valid UK address. We will not be liable for any delivery made to the wrong address due to the negligence or omission of a user. For donations, we will work with the emergency services to deliver the item to a local community. When the delivery is made, we will update this on our website to ensure contributors/donor have a good sense of where the item has been donated to.

We provide free shipping on all orders made on the website with same day dispatch on orders made before 4pm.

Users understand that there might be unexpected and unavoidable delays in delivering the order such as strikes, flood, fire, acts of God and delays caused by the delivery company. The buyer promises to hold Adopt an AED Ltd harmless for any such delay. In the event of such delay, we urge the user to permit a few more days to receive the delivery.

Refund and Cancellation Policy

We provide a 30-day money back guarantee on all our AED’s. Thus, if you have purchased an item from our e-commerce store/shop and wish to make a return this and get a refund, you can return the item within 30 days of purchase. Please note that our 30-day money back guarantee does not apply to damaged goods resulting from your negligence or failure to operate a device properly and is subject to our 5 days’ notice period for products damaged on delivery.

If on the delivery of a device, you discover that there is a damage/fault to the device, you shall contact us immediately notifying us of such damage or fault. It is your

responsibility to provide us with evidences to show the damage/fault was not due to your mistake and such damage/fault happened either prior or on delivery. You have five (5) days to report any incident of damage/fault by briefly explaining the damage as well as including any photos. All evidences should be sent to info@adoptanaed.co.uk. If possible, we advise that customers inspect the product with the courier present and If the customer observes the product has been damaged, the customer has the right to refuse delivery.

For a return to be accepted, the product(s) must be in good condition, unused, undamaged (except where product was already damaged on delivery) and must be in the original packaging. We reserve the right to refuse a returned item/product and have the item sent back to the you if we believe the product/item had been damaged due to your fault or negligence. If we accept your return for damaged/faulty product, we will provide a replacement or issue you a refund upon your request.

The customer will be liable for any cost of returning the item(s) to us. Only the original purchase price of the product/item will be refunded, any outbound delivery charges will not be refunded. In the eventuality of a refund, we will process such refund to the original payment method provided used in making the purchase. Kindly give 21 days for the payment to reflect.

The right to return or get a refund does not extend to the following cases; Typos and misspellings when filling out your information when checking out, product selection mistakes (i.e. ordering the wrong product, style or choice) and colour differences between your home computer and the display on our website. You are responsible for such actions and will be held liable for such negligence or errors.

If you wish to cancel an order before an item has been marked as dispatched, you can do this by cancelling the order through your account or calling us on the phone numbers provided on our contact page. If the product has been dispatched, then it will be considered a return and you will be liable for delivery back to us.

For donations, these are non-refundable once made. We advise users to carefully check the amount they wish to donate and ensure they are 100% sure of such donation.

In the event that a crowdfunding campaign on the site becomes unsuccessful and does not meet our 70% threshold for crowdfunding campaign, we shall hold any funds raised from such campaign for 60 days. Donors/contributors who have made donations to the campaign can request a refund of their contributions/donations within the 60 days. Any unclaimed donations shall be put into Adopt an AED’s donation pot and used to provide an AED to a local community selected by us with the help of the emergency service. On no occasion will Adopt an AED Ltd pay such donation directly to a campaign manager.

Fraudulent Transactions

We are a user-friendly website with the hopes of creating a positive experience and adequate service for all uses. We therefore do not condone fraudulent behaviours such as false campaigns, identity theft or using another person’s payment information to make a donation or purchase on this website. In the event we suspect you of any malpractice or an attempt to commit fraud, we will assist the bank and police authorities with any investigations including providing them with all the details used to register associated profiles, records of purchases made, card authentication and any communications through or related to the Site.

In the event of any claim that your payment card has been used without your permission or any other fraudulent use of payment cards (we are so sorry if this happens), we will assist the bank and police authorities with any investigations including providing them with all the details used to register associated profiles, card authentication and any communications through or related to the Site. Falsely making any such fraudulent claims can result in your profile being blacklisted which will affect your future card purchases. Denying a purchase that you have made is illegal and may result in legal action towards you, which can lead to prosecution, fines and impairment of your credit rating

Subject to other terms in these Terms and Conditions, all Content included on the Website unless uploaded by other Users (such as campaign managers), including, but not limited to, text, graphics, logos, icons, images, sound clips, video clips, data compilations, page layout, underlying code and software are the property of Adopt an AED Ltd and our affiliates or other relevant third parties. By continuing to use the Website, you acknowledge that such material is protected by applicable laws of Scotland, and relevant International Intellectual Property laws. You may not reproduce, copy, distribute, store or in any other fashion re-use material from the Website unless otherwise indicated on the Website or unless given express written permission to do so by us.

Termination and Cancellation

We may terminate your Account If we observe you have breached any terms of this agreement. You will be notified by email and an explanation for the termination will be provided. Notwithstanding the foregoing, we reserve the right to terminate without giving reasons. If we terminate your Account, any current or pending orders or payments on your Account will be cancelled and provision of Services will not commence.

Adopt and AED Ltd reserves the right to cancel orders or payments without stating reasons, for any reason prior to processing payment or commencing services to you. We also have the right to close a campaign or refuse a donation if we reasonably suspect that such campaign or donation may be fraudulent in nature or is made under false pretence.

Licence

By providing your content on this Site, you hereby grant us the non-exclusive and non-transferable license to use such content for any purpose as we may decide in order to provide our service to you or market our service/website. We promise that all content provided shall be used reasonably and legally without any prejudice to you.

Force Majeure

If Adopt an AED Ltd is unable to perform any of its obligations by reason of fire or other casualty, strike, act or order of public authority, act of God, or other cause beyond the control of the Adopt an AED Ltd, then we shall be excused from such performance during the pendency of such cause.

No Waiver

Any default, delay or omission of any of the provisions of this Agreement by either Party will not be construed as a waiver of any subsequent breach of the same or other provisions. We are entitled to still pursue any omitted or failed payment by you at any time.

Severability

In the event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement.

Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless the Adopt an AED, its respective affiliates, employees, agents, hired sub-contractors, and permitted successors and assigns that occurs in connection with this Agreement, against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from or arise out of any act ,fault, negligence or omission by you. This indemnification will survive the termination of this Agreement.

Resolving disputes

Any dispute arising from this Agreement between users and Adopt an AED Ltd shall be resolved through mediation. If the dispute cannot be resolved through mediation, then the dispute will be resolved through a binding arbitration conducted by an expert arbitrator in Scotland or as may be agreed upon by the parties.

Previous Terms and Conditions

In the event of any conflict between these Terms and Conditions and any prior versions thereof, the provisions of these Terms and Conditions shall prevail unless it is expressly stated otherwise.

Third Party Rights

Nothing in these Terms and Conditions shall confer any rights upon any third party. The agreement created by these Terms and Conditions is between you and Adopt an AED Ltd.

Law and Jurisdiction

These Terms and Conditions and the relationship between you and Adopt an AED Ltd shall be governed by and construed in accordance with the laws of Scotland and you agree to submit to the courts in Scotland.

Entire agreement

These Terms, the Privacy Policy, and any other agreement contained on our Site or agreed by the parties constitute the entire agreement between you and Adopt an AED Ltd.
